APPEAL from a judgment of the Quebec Court of Appeal, [1997] Q.J. No. 3191 (QL), J.E. 97‑1956, affirming a judgment of Baker J. dismissing the appellant’s application for an injunction and a declaration with respect to a proposed sale of shares. Appeal dismissed.

1                                   Iacobucci J. ‑‑ We agree with the conclusion of Dussault J.A. for the Quebec Court of Appeal in holding that the right of refusal contained in Article 4B of the Articles of Continuance of Sulconam Inc. was not validly exercised by the appellant in compliance with the provisions of Article 4B.

 

2                                   Accordingly, the appeal is dismissed with costs.

 

Judgment accordingly.
